Statement of Purpose
To set out the terms by which EuroPassport provides consulting services tailored to assist its clients obtaining citizenship in Europe based on ancestry and descent.

RECITALS:

EuroPassport is a Canada corporation in the business of consulting with, and facilitating, a process by which individuals of European ancestry may be able to obtain citizenship of a European country through hereditary and familial ties to that nation (“Citizenship by Descent”);

The Client has completed EuroPassport’s initial pre-screening and initial consultation processes;

Pursuant to this Master Client Services Agreement – Citizenship By Descent (the “Agreement”), the Client intends to retain EuroPassport to consult with them to establish their eligibility for Citizenship by Descent, provide genealogical research where required, and assist them in their citizenship application, and EuroPassport intends to accept that retainer and apply its expertise to assist the Client.
NOW THEREFORE, in exchange the for the mutual promises set out below, along with $1.00 give by each party to the other, it is hereby agreed as follows:
- Services: For as long as this Agreement is in force, at the request of the Client, and in exchange for payment by the Client of the Price (as defined below in Section 2 (Pricing)), EuroPassport will provide the Client those services detailed in Schedule A – Scope of Work (the “Services”). EuroPassport shall provide the Services in accordance with the requirements set out in Schedule B – Consultant and Client Expectations. The Client acknowledges that the Consultant may in the future offer additional immigration-related services under a separate agreement, but no such services shall be part of the Services unless expressly set out in the applicable Pricing Documents (as defined below in Section 2 (Pricing)) or a written amendment to this Agreement.

Pricing: In exchange for the Services, the Client will pay EuroPassport the amounts communicated to the Client throughout the document gathering, eligibility, and application process,
- through the Client’s secure portal (accessed via the Client’s login and password) on the EuroPassport Website (https://europassport.ca/); and/or
- in quotes, estimates, proposals, statements of work, invoices, emails, or other documents that the Consultant sends to the Client setting out pricing information for one or more portions of the Services.
- Pricing Approval and Inconsistencies: In the event of any inconsistency between the pricing information on the EuroPassport Website and any Pricing Documents approved by the Client, the Pricing Documents most recently approved by the Client prior to payment shall govern. The Clients acknowledges that they will be deemed to approve the Price in any Pricing Document when they pay any applicable amounts to EuroPassport.
- Changing Circumstances and Pricing Revisions: The Client acknowledges that, as contemplated in Section 4 (General Disclaimer) of Schedule G – General Terms, EuroPassport DOES NOT UNDER ANY CIRCUMSTANCES GUARANTEE that the Client will obtain Citizenship by Descent. Further, there is a probability that while providing the Services and obtaining Lineage Documents, EuroPassport will learn new information, or new circumstances, that will require the Consultant to provide additional Services over and above those set out in the Pricing Documents (such as, by way of example, naming discrepancies in Lineage Documents that are vital). In such situations, EuroPassport reserves the right to revise adjust the Price by issuing new Pricing Documents as necessary.
- European Legal Counsel: The Client acknowledges that in the course of providing the Services, it may be necessary for EuroPassport to retain the services of an immigration lawyer duly qualified and licenses to practice in the European country of which the Client seeks to become a citizen (the “European Lawyer”). EuroPassport DOES NOT provide legal advice. However, as part of the Services, if required, EuroPassport will involve a European Lawyer for the purpose of assessing the Client’s eligibility for Citizenship by Descent. Where the Client is eligible, then as part of the Services EuroPassport shall arrange for that European Lawyer to prepare and submit the required applications on the Client’s behalf. All services provided by the European Lawyer will be at the Client’s expense as set out in any Pricing Documents. The Client acknowledges that they will be required to sign the documents in Schedule C – Legal Documents for European Lawyers to enable the Consultant to provide the portion of the Services involving that European Lawyer, where applicable. The Client further acknowledges that the relationship with the European Lawyer will be as determined by EuroPassport, and will further be governed by the law of the law of the European country of which the Client seeks to become a citizen.

Additional Terms and Conditions: The parties hereto agree that this contract shall consist of the terms herein, the recitals (which the parties acknowledge to be true) and each of the schedules found on the EuroPassport website here which shall be incorporated herein by reference (collectively referred to herein as the “Agreement”)

- Schedule C – Legal Documents for European Lawyers;
- Schedule D – Payment;
- Schedule E – Confidentiality/Privacy;
- Schedule F – Term/Termination; and
- Schedule G – General Terms.
- Signature: This Agreement may be signed in paper form, by facsimile signature or by electronic signature in accordance with section 11 of the Electronic Commerce Act, 2000 (Ontario). It may also be signed in one or more counterparts and, once signed, can be delivered electronically, personally, by facsimile. It may also be delivered by email with the signing page and pages requiring initials attached thereto in Adobe® Portable Document Format (PDF).
